For the first time in the modern era, software trades at a discount to the S&P 500. Not at parity. At a discount. The sentence would have been unthinkable in a 2021 boardroom; in April 2026 it became a working assumption.
The numbers of the fall
Windsor Drake''s April numbers tell the repricing: public median EV over revenue hit 3.3x on March 31, 2026, against 6.2x at the end of 2024. About 1 trillion dollars in market value evaporated in one quarter. SEG confirms from the other angle: the index median fell from 5.7x in mid-2025 to 3.2x a year later. On projected earnings, the ladder is crueler still: 84x in 2020, 43 in 2024, 33 in 2025, 22.7x in the first quarter of 2026, already below the market.
The cases that marked the cycle
On February 3, 2026, 285 billion dollars were erased in a single session, per Goldman Sachs. The IGV had its worst quarter since 2008.
Salesforce fell more than 40% since the end of 2024, per CNBC, with 14 consecutive days of losses in June 2026, while revenue grew 13.3% in Q1 FY27. Airtable was sold for 1.285 billion dollars on August 3, against an 11.7 billion peak in 2021, an 80% discount. HubSpot fell 19% on August 6, its worst day in 10 years, beating on every line of earnings. Datadog fell 19% the same day, its worst since the 2019 IPO, with annual guidance raised: its largest AI customer reduced usage from Q3.
The paradox: better companies, lower price
The SEG Index median TTM revenue hit a record of 1.2 billion dollars. EBITDA growth accelerated to 29.4%, per SEG Q2 2026. The companies are better, per the SEG Index data. The market is not paying for it.
Meanwhile, AI-native trades at 8x to 25x EV/Revenue, per Windsor Drake. Horizontal seat-priced trades at 1.8x to 4.0x. The bifurcation reaches 10x between the two groups. 86% of private deal value in H1 2026 went to AI companies, per PitchBook. Zero notable SaaS IPOs in 2026. Cerebras IPO''d in May at 40 billion dollars, about 78x revenue, and foundation-model companies trade at a 37.5x average against an 8.5x SaaS median, per Value Add VC. Google bought Wiz for 32 billion dollars, the largest pure-software acquisition in history, per TechCrunch.
The repricing''s name is agentic AI
Revenue indexed to seats became risk, and the category''s largest buyer agrees: Orlando Bravo, of Thoma Bravo, said publicly that AI-driven valuation cuts are deserved. When the sector''s biggest check-writer says the discount is fair, it is not noise.
CNBC published the "SaaSpocalypse" debate on August 7, 2026. The question is which side of the bifurcation you are on: a software company with an AI feature, or an AI-native company that delivers software.
Conclusion
The market''s question stopped being growth and became structure: which side of the bifurcation is your operation on, and who pays the AI cost bill inside it. For us, the multiple that matters is cost per token divided by value generated. The multiple is now earned the old way, with margin, retention and cost under control, without narrative wrapping. Deciders and payers see the same spreadsheet before the market reprices.
